Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Pulse Health, Inc. ("Pulse," "we," "us," or "our") governing your access to and use of the Pulse platform, including our website, mobile applications, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Description of Service

Pulse is a patient-owned health intelligence platform that enables you to:

• Store and organize your medical records and health information
• Control access to your health data
• Share health information with healthcare providers and designated individuals
• Receive AI-powered health insights and summaries
• Set up emergency access to critical health information

Eligibility

To use the Service, you must:

• Be at least 18 years of age, or have parental/guardian consent
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws

Account Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and encryption keys
• Immediately notify us of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

Your Data and Privacy

• End-to-end encryption. Your health data is encrypted before leaving your device.

Acceptable Use

• Upload false, misleading, or fraudulent health information

• Reverse engineer, decompile, or attempt to extract source code
• Use the Service to transmit malware or harmful code
• Impersonate another person or entity
• Use the Service in any way that could harm Pulse or other users

AI Features

The Service includes AI-powered features that provide health insights and summaries. You understand and agree that:

• AI outputs are for informational purposes only, not medical advice
• AI may make errors or provide incomplete information
• You should always verify AI-generated content with qualified professionals
• AI features may be updated or modified over time

Emergency Access Feature

If you enable the emergency access feature:

• You are responsible for configuring what information is accessible
• Emergency responders who access your information may not be bound by HIPAA
• Pulse is not liable for how emergency responders use the information
• The feature is provided as-is and may not function in all emergency situations

Intellectual Property

The Service and its original content, features, and functionality are owned by Pulse and are protected by international copyright, trademark, and other intellectual property laws. Your health data remains your property at all times.

Termination

You may terminate your account at any time by deleting it through the app settings. We may terminate or suspend your access immediately, without prior notice, for any breach of these Terms. Upon termination:

• Your right to use the Service will immediately cease
• You may request a data export before termination
• Your encrypted data will be deleted within 30 days

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PULSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or other harmful code that may be transmitted through the Service

Indemnification

You agree to indemnify and hold harmless Pulse and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive your right to a jury trial or to participate in a class action.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
